1. Definitions

"ssyntharis," "we," "our," or "us" refers to ssyntharis, a consulting business registered and operating in Chiang Mai, Thailand. "Service" refers to the AI integration consulting services and any related deliverables provided by ssyntharis. "User," "you," or "your" refers to any individual or entity accessing our website or engaging our services. "Agreement" refers to these Terms & Conditions together with any service-specific contract or statement of work.

2. Acceptance of Terms

You must be at least 18 years of age or have the legal capacity to enter into binding agreements in your jurisdiction to use our services.

4. User Responsibilities

Regarding service deliverables: unless otherwise specified in a service agreement, custom models, code, and documentation developed specifically for your engagement are transferred to you upon full payment. ssyntharis retains the right to use general methodologies, techniques, and know-how developed during the engagement. Pre-existing tools and frameworks owned by ssyntharis remain our property, though you receive a perpetual license to use them within the scope of the delivered project.

6. Payment Terms

Service fees are stated in Thai Baht (฿) and are specified in individual service agreements. Payment terms, schedules, and accepted methods are detailed in the relevant agreement. Unless otherwise agreed, invoices are due within 30 days of issue. Late payments may incur a charge of 1.5% per month on the outstanding balance. All fees are exclusive of applicable taxes unless stated otherwise.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the course of an engagement. This obligation survives the termination of any service agreement for a period of three years. Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from a third party.

8. Disclaimers

Our website and services are provided on an "as is" and "as available" basis. While we strive for accuracy and quality, we do not warrant that our services will meet all your expectations or that outcomes will match specific projections. AI and predictive models involve inherent uncertainties, and results depend in part on the quality and completeness of your data.

9. Limitation of Liability

To the fullest extent permitted by Thai law, ssyntharis's total liability arising out of or related to these terms or any service agreement shall not exceed the total fees paid by you for the specific service giving rise to the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.

10. Indemnification

You agree to indemnify and hold harmless ssyntharis, its officers, employees, and contractors from any claims, losses, or damages arising from your breach of these terms, misuse of our services, or violation of any third-party rights.

11. Termination

Either party may terminate a service engagement as specified in the relevant service agreement. In the absence of specific termination provisions, either party may terminate with 30 days written notice. Upon termination, all outstanding fees for work completed become immediately payable. We will provide all deliverables completed up to the termination date.

We reserve the right to suspend or restrict access to our website at any time without notice if we believe these terms have been violated.

12. Dispute Resolution

These terms are governed by the laws of the Kingdom of Thailand. Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation between the parties. If negotiation does not resolve the dispute within 30 days, either party may submit the matter to mediation or arbitration in Chiang Mai, Thailand, under the rules of the Thai Arbitration Institute. The language of arbitration shall be English.

13. General Provisions

These Terms & Conditions, together with any applicable service agreement, constitute the entire agreement between you and ssyntharis regarding the subject matter herein. If any provision is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of that right. We may assign our rights and obligations under these terms without your consent. You may not assign your rights without our written consent.

14. Changes to These Terms

We may modify these Terms & Conditions at any time by posting an updated version on this page. Changes take effect upon posting. Your continued use of our website or services after changes are posted constitutes your acceptance of the revised terms. We encourage you to check this page periodically for updates.
